These Terms and Conditions of Use govern access to and use of the Truviss software platform, including its website, web-based applications, dashboards, APIs, automated scanning systems, analytical engines, reporting tools, and all related software components and services (collectively, the “Software”). By accessing or using the Software, you confirm that you have read, understood, and agree to be legally bound by these Terms. If you do not agree, you must immediately discontinue use of the Software.
Acceptance and Changes to the Terms
These Terms constitute a binding agreement between you and Truviss with respect to your use of the Software. Truviss reserves the right to modify, update, or replace these Terms at any time. Any such changes will be effective upon publication on this page. Continued access to or use of the Software following the posting of changes constitutes acceptance of the revised Terms.
Eligibility and Authority
By using the Software, you represent and warrant that you are legally capable of entering into this agreement and, where applicable, that you have the authority to bind the entity on whose behalf you are using the Software. You further represent that your use of the Software is for legitimate business or professional purposes and is in compliance with all applicable laws and regulations.
Account Registration and Security
Access to the Software may require the creation of an account and the use of authentication credentials. You are responsible for ensuring that all information provided during registration is accurate, complete, and kept up to date. You are solely responsible for maintaining the confidentiality of your login credentials and for all activities carried out under your account, whether authorised or unauthorised. Truviss shall not be responsible for any loss or damage resulting from your failure to safeguard your account credentials.
License Grant and Scope of Use
Subject to your compliance with these Terms, Truviss grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Software solely for your internal business operations. No rights are granted except as expressly stated herein, and all rights not expressly granted are reserved by Truviss.
Use of the Software
You agree to use the Software in accordance with these Terms, all applicable documentation, and all applicable laws. You acknowledge that the Software operates through automated processes, algorithms, and data analysis mechanisms, and that the outputs generated by the Software are dependent on the accuracy, completeness, and legality of the data provided by you. The Software is intended to provide informational and operational insights and does not constitute legal, regulatory, or enforcement advice.
Restrictions on Use
You agree not to engage in any activity that interferes with the proper functioning of the Software or compromises its security, integrity, or performance. This includes, without limitation, attempting to reverse engineer, decompile, or derive the source code of the Software; bypassing security measures; accessing the Software without authorisation; introducing malicious code; or using the Software for any unlawful or infringing purpose.
Customer Data and Data Processing
You retain ownership of all data, content, and information submitted, uploaded, scanned, or otherwise processed through the Software. By using the Software, you grant Truviss a limited right to host, process, analyse, store, and transmit such data solely to the extent necessary to provide, operate, secure, and improve the Software. Truviss does not claim ownership of Customer Data and does not process such data for purposes unrelated to the delivery of the Software.
Data Responsibility and Accuracy
You are solely responsible for ensuring that any data submitted through the Software is accurate, lawful, and does not infringe the rights of third parties. Truviss does not independently verify Customer Data and makes no representations regarding the accuracy, completeness, or reliability of outputs generated based on such data. You acknowledge that automated results may require human review and validation.
Intellectual Property Rights
All intellectual property rights in and to the Software, including its architecture, algorithms, interfaces, workflows, documentation, and underlying technology, are and shall remain the exclusive property of Truviss or its licensors. Nothing in these Terms shall be construed as transferring ownership or granting any implied rights beyond the limited license expressly granted.
Third-Party Services and Integrations
The Software may include integrations with or links to third-party platforms or services. Truviss does not control, endorse, or assume responsibility for any third-party services, their availability, or their compliance with applicable laws. Your use of such services is subject to the terms and policies of the relevant third parties and is undertaken at your own risk.
Availability, Maintenance, and Modifications
The Software is provided on an “as available” basis. Truviss may perform maintenance, updates, or modifications that may temporarily affect availability. Truviss reserves the right to modify, suspend, or discontinue any aspect of the Software at any time without liability. Truviss does not guarantee uninterrupted or error-free operation.
Disclaimer of Warranties
To the maximum extent permitted by applicable law, the Software is provided without warranties of any kind, whether express, implied, or statutory. Truviss expressly disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement, and availability. Truviss does not warrant that the Software will meet your specific requirements or achieve particular outcomes.
Limitation of Liability
To the fullest extent permitted by law, Truviss shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of data, revenue, business opportunities, or reputation, arising out of or related to your use of the Software. In no event shall Truviss’ total liability exceed the fees paid by you for access to the Software during the applicable period, if any.
Indemnification
You agree to indemnify, defend, and hold harmless Truviss from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising from your use of the Software, your violation of these Terms, or your submission of data that infringes the rights of third parties.
Suspension and Termination
Truviss may suspend or terminate your access to the Software immediately and without prior notice if you breach these Terms, if continued access poses a security or legal risk, or if required by law or regulatory authority. Upon termination, all rights granted to you under these Terms will immediately cease.
Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws applicable to the jurisdiction in which the Software is operated, without regard to conflict of law principles. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts in that jurisdiction.
